CODE27 TERMS OF USE

Introduction

Thank you for choosing CODE27! These Terms of Use ("Terms") constitute a legally binding agreement between you and SyBran Technology Limited ("Company," "we," "us," or "our"), regarding your access to and use of:


(a) The CODE27 hardware device, including any successor models, accessories, or related hardware products (the "Device");

(b) The CODE27 mobile application (the "App");

(c) Our website at code27.co and any subdomains (the "Website");

(d) All AI companion services, including 3D character animation, voice interaction, image processing, video processing, and audio processing services;

(e) All contests, sweepstakes, competitions, promotional activities, and public galleries operated by CODE27 (collectively, "Promotions");

(f) All interfaces, software, APIs, updates, features, and functionality provided through or in connection with the Device and App; and

(g) All visual, audio, interactive content, and other materials accessible through the foregoing.(collectively, the "Services")


PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. By accessing, downloading, installing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at code27.co/privacy). If you do not agree to these Terms, you must not access or use the Services.

IMPORTANT: These Terms contain an arbitration agreement and class action waiver in Section 21 that affect your legal rights. Please review them carefully.

1. Definitions


1.1 "Product" means collectively the Device, App, and all embedded software, firmware, and digital content.


1.2 "User Content" means any data, text, images, audio, video, or other materials you upload, transmit, or create using the Services.


1.3 "Entry" means any submission to a Promotion, including artwork, descriptions, portfolio links, and associated metadata.


1.4 "Account" means your registered CODE27 user account required to access certain Services features.


2. Acceptance and Eligibility


2.1 Age Requirements

  • Minimum Age: You must be at least 13 years old to create an Account or use the Services.
  • Ages 13-17: If you are between 13 and 17 years old (or the applicable age of majority in your jurisdiction), you may only use the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
  • Adult Content Controls: Users under 18 years old are prohibited from adjusting content filtering settings or accessing mature content categories.
  • Promotion Eligibility: Age requirements for specific Promotions are detailed in the applicable Official Rules. Winners under 18 may be required to provide parental consent documentation.


2.2 Legal Capacity

You represent and warrant that you have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.


2.3 Geographic Restrictions

Certain Services features or Promotions may not be available in all countries or regions. We reserve the right to restrict access based on geographic location.


3. License Grant and Restrictions


3.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

(a) Install and use the App on a compatible mobile device you own or control;

(b) Access and use the Device in accordance with its documentation;

(c) Access and use the Website and cloud Services; and

(d) Use the software embedded in the Product solely for your personal, non-commercial use (except as expressly permitted for Promotion Entries).


3.2 License Restrictions

You agree not to, and not to permit any third party to:

(a) Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Services, except as expressly permitted by applicable law;

(b) Rent, lease, sell, sublicense, distribute, or otherwise transfer the Services or any portion thereof;

(c) Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices;

(d) Use the Services for any unlawful purpose or in violation of any applicable laws or regulations;

(e) Circumvent or attempt to circumvent any technological protection measures, digital rights management, safety filters, or access controls;

(f) Use the Services to develop competing products or services;

(g) Access or use the Services through automated means (bots, scripts, scrapers) except as authorized by us in writing;

(h) Interfere with or disrupt the integrity or performance of the Services;

(i) Attempt to gain unauthorized access to any portion of the Services, accounts, or systems; or

(j) Use the Services in any manner that could damage, disable, overburden, or impair our infrastructure.


3.3 Third-Party Development

You may not use CODE27 technology, intellectual property, APIs, or SDKs to develop, manufacture, or distribute third-party devices, accessories, applications, or services without our prior written consent.


3.4 Transfer of License

You may make a permanent, one-time transfer of your license to another party, provided that:

(a) You transfer the Device and all associated software together;

(b) You do not retain any copies of the software or documentation;

(c) The receiving party reads and agrees to accept these Terms; and

(d) You notify us of the transfer through the Account settings.


4. Account Registration and Security


4.1 Account Creation
To access certain Services features, you must create an Account by providing accurate, complete, and current information. You agree to update your Account information promptly if it changes.


4.2 Account Security

You are responsible for:

(a) Maintaining the confidentiality of your Account credentials;

(b) All activities that occur under your Account;

(c) Notifying us immediately of any unauthorized access or security breach; and

(d) Ensuring you log out at the end of each session.

We are not liable for any loss or damage arising from your failure to protect your Account credentials.


4.3 Account Suspension and Termination

We reserve the right to suspend or terminate your Account if:

(a) You violate these Terms;

(b) We detect fraudulent, abusive, or illegal activity;

(c) We are required to do so by law;

(d) Your Account has been inactive for more than 24 months; or

(e) We discontinue the Services (with reasonable notice).


5. Privacy and Data Collection


5.1 Privacy Policy Incorporation

Our collection, use, and disclosure of personal information is governed by our Privacy Policy at code27.co/privacy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.


5.2 Consent to Data Collection

You acknowledge and agree that we and our service providers may collect, process, and store:

(a) Device configuration data, hardware identifiers, and firmware version information;

(b) App usage statistics, feature interaction logs, and performance metrics;

(c) Error logs, crash reports, and diagnostic information;

(d) Voice inputs, text messages, and image data processed for AI services (processed in real-time and not stored on our servers except as described in the Privacy Policy);

(e) Account information, payment transaction data, and customer support communications;

(f) Entry materials and public gallery content for Promotions;

(g) Voting activity, community interactions, and content preferences; and

(h) Website cookies and analytics data.


5.3 Safety Monitoring

To comply with California SB243 and protect user wellbeing, we implement automated content filtering and crisis intervention monitoring. When safety concerns are detected (e.g., self-harm ideation), we may log anonymized interaction data and provide crisis resources. See Section 4 (Event Logs and Safety Monitoring) of the Privacy Policy for details.


5.4 Data Processing LocationYour data may be processed, stored, and transferred to servers and service providers located in the United States, Canada, and other jurisdictions where our service providers operate. These jurisdictions may have different data protection laws than your country of residence.


5.5 Data Retention

We retain your data only as long as necessary to provide the Services, comply with legal obligations, and resolve disputes. Specific retention periods are detailed in Section 9 (Data Retention) of our Privacy Policy.


6. User Content and Acceptable Use

6.1 User Content Ownership
You retain ownership of all intellectual property rights in your User Content. However, by uploading or creating User Content through the Services, you grant us a limited license as described in Section 6.2.

6.2 License to User Content
By submitting User Content, you grant CODE27 a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:
(a) Process, transmit, and temporarily store User Content as necessary to provide the Services (e.g., voice synthesis, AI animation);
(b) Display publicly submitted Entry materials in Promotion galleries and promotional materials;
(c) Use anonymized, aggregated insights from User Content to improve the Services; and
(d) Create derivative works for the purposes specified in Section 6.2(a)-(c).
This license terminates when you delete your User Content, except for content that has been shared publicly or incorporated into Promotion galleries, which may continue to be displayed as described in Section 7.

6.3 User Content Restrictions
You agree that your User Content and use of the Services will not:
(a) Infringe or violate any third-party intellectual property, privacy, publicity, or other rights;
(b) Contain unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or hateful content;
(c) Depict or promote violence, illegal activities, or discrimination;
(d) Contain malware, viruses, or malicious code;
(e) Impersonate any person or entity or misrepresent your affiliation;
(f) Include unsolicited advertising, spam, or promotional material;
(g) Involve minors in inappropriate contexts; or
(h) Violate any applicable laws or regulations.

6.4 Content Moderation
We reserve the right (but have no obligation) to:
(a) Monitor, review, or remove User Content at our discretion;
(b) Investigate violations of these Terms;
(c) Take appropriate action, including Account suspension or termination; and
(d) Report illegal activity to law enforcement authorities.
We do not pre-screen User Content and are not responsible for content posted by users.



7. Promotions (Contests, Sweepstakes, and Competitions)

7.1 General Terms
From time to time, we may offer Promotions through the Services. Participation in Promotions is subject to:
(a) These Terms;
(b) Our Privacy Policy;
(c) The specific Official Rules for each Promotion; and
(d) Any additional terms and conditions posted with the Promotion.
In the event of a conflict between these Terms and Promotion-specific Official Rules, the Official Rules shall govern with respect to that Promotion.

7.2 No Purchase Necessary
Unless otherwise specified, no purchase is necessary to enter or win a Promotion. Purchases do not increase your chances of winning.

7.3 Eligibility
Promotion eligibility requirements (including age, residency, and other restrictions) are specified in each Promotion's Official Rules. Void where prohibited by law.

7.4 Entry Submission
By submitting an Entry to a Promotion:
(a) You represent and warrant that your Entry is your original work and does not infringe any third-party rights;
(b) You grant us the licenses specified in Section 7.5;
(c) You agree to be bound by the Promotion's Official Rules;
(d) You acknowledge that Entries may be publicly displayed; and
(e) You waive any moral rights or rights of attribution (to the extent permitted by law).

7.5 Promotion Entry Licenses
Gallery Display License: By submitting an Entry, you grant CODE27 a worldwide, non-exclusive, royalty-free, perpetual, sublicensable license to:
(a) Display your Entry in public galleries on the Website and App;
(b) Allow public viewing, sharing, and voting on your Entry;
(c) Create thumbnails, previews, and compressed versions of your Entry;
(d) Display your username, portfolio link, and Entry description alongside your Entry; and
(e) Use your Entry for archival and reference purposes after the Promotion concludes.
Winner Promotional License: If you are selected as a finalist or winner, you grant CODE27 an additional license to:
(a) Use your Entry in press releases, social media posts, and marketing materials;
(b) Display your Entry on the CODE27 website and promotional channels for up to two years;
(c) Include your Entry in "best of" compilations and promotional videos;
(d) Announce your name, likeness, hometown (city/state/country), and portfolio link as a winner; and
(e) Use your Entry to promote future Promotions.
You may request removal of your Entry from public display after the Promotion concludes by contacting privacy@code27.co, except for archival/historical references to Promotion results.

7.6 Winner Selection and Notification
Winner selection criteria and notification procedures are specified in each Promotion's Official Rules. Winners may be required to:
(a) Execute and return an Affidavit of Eligibility, Liability Release, and (where legal) Publicity Release within the specified timeframe;
(b) Provide government-issued identification for verification;
(c) If under 18, provide parental consent documentation; and
(d) Comply with tax reporting requirements.
Failure to comply may result in disqualification and forfeiture of prizes.

7.7 Prize Terms
(a) Prizes are awarded "as is" without warranty;
(b) Prizes are non-transferable and may not be substituted for cash (except at our sole discretion);
(c) Winners are responsible for all taxes, fees, and costs associated with prize acceptance;
(d) We reserve the right to substitute prizes of equal or greater value if the stated prize becomes unavailable; and
(e) Unclaimed prizes may not be awarded.

7.8 Disqualification
We reserve the right to disqualify any participant who:
(a) Violates the Official Rules or these Terms;
(b) Engages in fraudulent, automated, or bot-driven voting or entry submission;
(c) Uses multiple accounts to gain unfair advantage;
(d) Submits plagiarized, infringing, or inappropriate content;
(e) Harasses other participants or attempts to manipulate results; or
(f) Acts in any manner we deem unfair or detrimental to the Promotion.

7.9 Voting and Public Participation
Some Promotions may include public voting features. Voting participants agree to:
(a) Vote authentically without using automated systems or bots;
(b) Not create multiple accounts for voting purposes;
(c) Accept that voting may influence but does not solely determine winners (final judging criteria are specified in Official Rules); and
(d) Waive any claims regarding voting results or irregularities.
We reserve the right to invalidate votes that violate these Terms or Official Rules.


8. Intellectual Property Rights

8.1 Company IP Ownership
All rights, title, and interest in and to the Services (excluding User Content) are and will remain the exclusive property of CODE27 and our licensors. This includes:
(a) The Device design, hardware, and firmware;
(b) The App software, code, and algorithms;
(c) AI models, animation systems, and voice synthesis technology;
(d) Visual interfaces, graphics, logos, and design elements;
(e) Trademarks, service marks, and trade names;
(f) Documentation, tutorials, and support materials; and
(g) All updates, enhancements, and derivative works.
These Terms do not grant you any intellectual property rights except the limited license in Section 3.1.

8.2 Trademarks
CODE27, the CODE27 logo, and other trademarks, service marks, and trade names used in connection with the Services are the property of SyBran Technology Limited. You may not use our trademarks without prior written permission.

8.3 Feedback and Suggestions
If you provide feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant CODE27 an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free, worldwide right and license to:
(a) Use, reproduce, modify, and create derivative works from the Feedback;
(b) Publicly perform, publicly display, and distribute the Feedback;
(c) Sublicense the Feedback to third parties; and
(d) Incorporate the Feedback into the Services or other products.
You waive any compensation or attribution rights with respect to Feedback. We have no obligation to use, respond to, or implement Feedback.

8.4 Copyright Infringement Claims (DMCA)
We respect intellectual property rights. If you believe that content on the Services infringes your copyright, please send a DMCA notice to copyright@code27.co containing:
(a) Identification of the copyrighted work claimed to be infringed;
(b) Identification of the allegedly infringing material and its location on the Services;
(c) Your contact information (address, telephone number, email);
(d) A statement that you have a good faith belief that use of the material is not authorized;
(e) A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner; and
(f) Your physical or electronic signature.
We will investigate and take appropriate action, which may include removing the content and terminating repeat infringers' Accounts.


9. Services and Updates

9.1 Service Descriptions
The Services include various features and functionalities, including but not limited to:
AI Companion Services: Voice-based interaction, 3D character animation, personality customization, and conversational AI powered by third-party AI models.
Cloud Services: Remote synchronization, backup (device-local by default), content recommendations, and Account management.
Spellbooks Integration: Access to third-party content platforms and creative tools through authorized integrations.
Community Features: Public galleries, Promotions, voting systems, and social sharing.
Safety Monitoring: Automated content filtering and crisis intervention features compliant with California SB243.
Specific features may vary based on your Device model, region, and subscription tier. Some features may require internet connectivity.

9.2 Software Updates
We may provide updates, patches, and upgrades to the Services (collectively, "Updates") to:
(a) Fix bugs, errors, or security vulnerabilities;
(b) Improve performance, stability, or compatibility;
(c) Add new features or enhance existing functionality;
(d) Ensure compliance with applicable laws or regulations; or
(e) Maintain interoperability with third-party services.

9.3 Update Types
Critical Security Updates: Updates addressing security vulnerabilities may be automatically downloaded and installed to protect the integrity of the Services and your data. Your Device may require installation of critical security updates before accepting new tasks.
Feature Updates: Updates adding new features or improving functionality may be automatically downloaded but will provide notice before installation, allowing you to schedule installation at a convenient time.
Firmware Updates: Device firmware updates improve hardware performance and may be required for compatibility with new App versions.

9.4 Update Commitment
We commit to providing:
(a) Regular Software Updates: Frequent updates including bug fixes, feature enhancements, and improvements for a minimum of five (5) years from the Device launch date;
(b) Security Updates: Critical security patches and vulnerability fixes for a minimum of seven (7) years from the Device launch date, with ongoing coverage throughout the Product's lifecycle if new security issues are identified.

9.5 Update Requirements
You acknowledge that:
(a) Some Services features may require the latest software version to function properly;
(b) Failure to install Updates may result in degraded performance, security vulnerabilities, or limited functionality;
(c) We are not responsible for issues arising from your failure to install available Updates;
(d) Updates are governed by these Terms unless accompanied by separate license terms, which will prevail; and
(e) Older software versions may not be supported indefinitely.


10. Third-Party Services and Content

10.1 Third-Party Integrations
The Services may integrate with or provide access to third-party services, applications, content, and websites (collectively, "Third-Party Services"), including:
(a) ElevenLabs for voice synthesis;
(b) Payment processors (Airwallex, Stripe, Kickstarter);
(c) Spellbooks content platforms;
(d) Social media sharing features;
(e) Analytics providers (Google Analytics, Meta Pixel - website only); and
(f) Other authorized partners.

10.2 Third-Party Terms
Your use of Third-Party Services is subject to their respective terms of service, privacy policies, and other policies. We do not control Third-Party Services and are not responsible for:
(a) The availability, accuracy, or reliability of Third-Party Services;
(b) The content, products, or services offered by third parties;
(c) Third-party data collection, use, or disclosure practices;
(d) Any harm or damage arising from your use of Third-Party Services; or
(e) Disputes between you and third-party providers.
You should review third-party policies before using their services.

10.3 Third-Party Licenses
The Services may include open-source software or third-party components subject to separate license terms. These licenses are available upon request and may grant you additional rights.

10.4 Linking
Links to Third-Party Services are provided for convenience only and do not constitute endorsement. We are not responsible for examining or evaluating third-party content or offerings.


11. California Chatbot Disclosure (SB 1001)

Pursuant to California Business and Professions Code § 17940, we disclose that the CODE27 AI companion uses artificial intelligence and is not a human. While our AI is designed to provide companionship, entertainment, and creative interaction, it is an automated system.


12. Crisis Intervention and Safety Resources (California SB243)

12.1 Safety Monitoring
In compliance with California SB243, CODE27 implements automated monitoring to detect conversations indicating potential self-harm, suicidal ideation, or crisis situations. When such content is detected, the system will:
(a) Provide immediate access to crisis resources, including the 988 Suicide & Crisis Lifeline;
(b) Encourage you to contact emergency services or speak with a trusted individual;
(c) Log anonymized interaction data for safety compliance purposes (retained for three years); and
(d) Temporarily interrupt or modify interaction patterns prioritizing safety.

12.2 Not a Substitute for Professional Help
The Services are not intended to provide medical, mental health, or crisis intervention services. If you are experiencing a mental health crisis:
- Call 988 (Suicide & Crisis Lifeline) in the United States
- Call 911 or your local emergency number
- Contact a mental health professional or visit the nearest emergency room
Do not rely solely on the Services for crisis support.

12.3 Minor Protections
For users under 18:
(a) Content filters are enabled by default and cannot be adjusted;
(b) Enhanced safety monitoring is applied;
(c) Crisis intervention resources are prominently displayed;
(d) Parental oversight features are available through Account settings; and
(e) We may notify parents or guardians if serious safety concerns are detected (as permitted by law).


13. Export Compliance

You may not use, export, or re-export the Services except as authorized by United States law, the laws of the jurisdiction in which the Services were obtained, and any other applicable laws. You represent that you are not:
(a) Located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country;
(b) Listed on any U.S. government list of prohibited or restricted parties; or
(c) Subject to export restrictions under applicable laws.
You agree to comply with all export and import laws and regulations.


14. Prohibited Uses

In addition to the restrictions in Section 3.2 and Section 6.3, you specifically agree not to:
(a) Use the Services for any illegal purpose or to violate any laws;
(b) Engage in any activity that infringes intellectual property rights;
(c) Upload, transmit, or distribute malware, viruses, or harmful code;
(d) Harvest, scrape, or collect information about other users without consent;
(e) Interfere with security features or authentication measures;
(f) Attempt to access other users' Accounts or data;
(g) Use the Services to send spam, phishing attempts, or unsolicited communications;
(h) Manipulate or abuse voting, contest, or reward systems;
(i) Create fake or multiple Accounts to evade restrictions or gain unfair advantages;
(j) Engage in coordinated inauthentic behavior or manipulation campaigns;
(k) Use the Services in connection with any commercial pornographic content;
(l) Facilitate human trafficking, exploitation, or abuse;
(m) Generate content that violates the rights of minors; or
(n) Violate any applicable laws regarding online conduct, acceptable content, or privacy.


15. Termination

15.1 Termination by You
You may terminate these Terms at any time by:
(a) Ceasing all use of the Services;
(b) Deleting your Account through Account settings or contacting support@code27.co;
(c) Uninstalling the App from your devices; and
(d) Discontinuing use of the Device.

15.2 Termination by Us
We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including:
(a) Breach of these Terms or applicable laws;
(b) Fraudulent, abusive, or illegal activity;
(c) Prolonged inactivity (24+ months);
(d) Request by law enforcement or government authorities;
(e) Unexpected technical or security issues;
(f) Discontinuation of the Services (with reasonable notice); or
(g) At our sole discretion.

15.3 Effect of Termination
Upon termination:
(a) Your license to use the Services immediately terminates;
(b) You must cease all use of the Services and uninstall the App;
(c) We may delete your Account and associated data (subject to legal retention obligations);
(d) Sections 6.2 (license to User Content for publicly shared material), 8 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 21 (Dispute Resolution), and 22 (General Provisions) survive termination;
(e) You remain liable for any obligations incurred prior to termination; and
(f) Termination does not affect any licenses you have granted for Promotion Entries or publicly shared content.

15.4 Data Export
Before terminating your Account, you should export any User Content you wish to retain. We are not obligated to provide access to your data after Account deletion.


16. Disclaimers and Warranties

16.1 "AS IS" and "AS AVAILABLE" Basis
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

16.2 Disclaimer of Warranties
CODE27, ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
(a) Implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and satisfactory quality;
(b) Warranties regarding the accuracy, reliability, completeness, or timeliness of content, services, software, or graphics;
(c) Warranties that the Services will be uninterrupted, secure, error-free, or free from viruses or harmful components;
(d) Warranties that defects will be corrected;
(e) Warranties regarding third-party services, content, or integrations; and
(f) Warranties arising from course of dealing, usage, or trade practice.

16.3 AI Companion Limitations
You acknowledge and agree that:
(a) AI-generated responses may be inaccurate, nonsensical, or inappropriate;
(b) The AI does not provide professional advice (legal, medical, financial, or otherwise);
(c) AI companion interactions are for entertainment and companionship purposes only;
(d) The AI may not understand context, sarcasm, or nuanced requests;
(e) Voice synthesis and animation may not perfectly match your expectations; and
(f) The AI is not a substitute for human relationships or professional services.

16.4 Device Performance
We do not warrant that:
(a) The Device will meet your specific requirements or expectations;
(b) Device hardware will be free from defects (see Warranty Statement at code27.co/warranty-and-return for limited hardware warranty);
(c) Updates will not introduce new issues or remove features you rely upon;
(d) The Device will be compatible with all third-party accessories or services; or
(e) Device performance will remain consistent across all conditions.

16.5 User Responsibility
YOU ASSUME ALL RESPONSIBILITY AND RISK FOR:
(a) Selection of the Services to achieve your intended results;
(b) Installation, use, and results obtained from the Services;
(c) Ensuring your equipment and internet connection are adequate;
(d) Backing up your User Content and data;
(e) Compliance with applicable laws in your jurisdiction;
(f) Protecting minors under your supervision from inappropriate content; and
(g) Injuries, damages, or losses arising from improper use of the Device.

16.6 Device Safety Warning
IMPORTANT SAFETY NOTICE: When using the Device:
(a) Do not insert body parts or objects into the Device during operation to avoid risk of burns, pinching, or other injuries;
(b) Keep the Device away from water and moisture;
(c) Use only approved power adapters and accessories;
(d) Do not operate the Device if damaged or malfunctioning;
(e) Keep the Device out of reach of young children;
(f) Allow proper ventilation and do not cover Device vents; and
(g) Supervise minors' use of the Device.
YOU ASSUME ALL RISKS OF PERSONAL INJURY, PROPERTY DAMAGE, OR EQUIPMENT DAMAGE CAUSED BY IMPROPER USE, MISUSE, OR FAILURE TO FOLLOW SAFETY INSTRUCTIONS.

16.7 Third-Party G-Code Disclaimer
While the Device may support execution of G-code or other control files generated by third-party software, we do not guarantee compatibility, safety, or functionality of third-party-generated files. We are not responsible for Device damage, safety issues, or unsatisfactory results caused by running third-party G-code or improperly configured commands.

16.8 Jurisdictional Limitations
Some jurisdictions do not allow exclusion or limitation of implied warranties. If these laws apply to you, some or all of the above disclaimers may not apply, and you may have additional rights.


17. Limitation of Liability

17.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODE27, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
(a) Indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for:
- Loss of profits, revenue, sales, or business opportunities;
- Loss of data or information;
- Loss of goodwill or reputation;
- Cost of procurement of substitute goods or services;
- Business interruption;
- Loss of use or enjoyment; or
- Any other intangible losses;
(b) Damages arising from:
- Errors, mistakes, or inaccuracies in content or Services;
- Personal injury or property damage resulting from use of the Services;
- Unauthorized access to or use of our servers or your data;
- Interruption or cessation of the Services;
- Bugs, viruses, or harmful components transmitted through the Services;
- Third-party content, services, or conduct;
- Deletion of, corruption of, or failure to store User Content;
- Contest or Promotion results, including disqualification or prize forfeiture; or
- Your reliance on AI-generated content or responses;
REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR OTHERWISE) AND EVEN IF CODE27 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODE27'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
(a) One hundred U.S. dollars (USD $100.00), or
(b) The amount you paid to CODE27 for the Device or Services in the twelve (12) months preceding the claim.

17.3 Basis of the Bargain
You acknowledge that the disclaimers and limitations in these Terms reflect a reasonable and fair allocation of risk between you and CODE27 and form an essential basis of the bargain between the parties. The Services would not be provided without these limitations.

17.4 Jurisdictional Limitations
Some jurisdictions do not allow exclusion or limitation of liability for consequential or incidental damages, or for death or personal injury caused by negligence. If these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights. Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.


18. Indemnification

You agree to indemnify, defend, and hold harmless CODE27, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
(a) Your use or misuse of the Services;
(b) Your violation of these Terms or applicable laws;
(c) Your User Content or Promotion Entries, including any infringement of third-party intellectual property rights;
(d) Your violation of any third-party rights, including privacy, publicity, or intellectual property rights;
(e) Any fraudulent, abusive, or illegal activity conducted through your Account;
(f) Your breach of any representations or warranties in these Terms;
(g) Injuries, damages, or losses caused by your improper use of the Device; or
(h) Any dispute between you and another user or third party.
This indemnification obligation survives termination of these Terms. We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us in asserting any available defenses.


19. Modifications to Terms

19.1 Right to Modify
We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. We will provide notice of material changes by:
(a) Posting the updated Terms on the Website with a new "Last Updated" date;
(b) Sending an email notification to your registered email address;
(c) Displaying a prominent notice within the App or Device interface; or
(d) Other reasonable means of notification.

19.2 Effective Date of Changes
Changes will become effective:
(a) For material changes affecting your rights: thirty (30) days after notice is provided (the "Notice Period");
(b) For non-material changes (e.g., clarifications, formatting): Immediately upon posting.

19.3 Acceptance of Changes
By continuing to access or use the Services after the effective date of the updated Terms, you agree to be bound by the modified Terms. If you do not agree to the changes:
(a) You must stop using the Services;
(b) You may terminate your Account as described in Section 15.1;
(c) You may be entitled to a refund of any prepaid fees for Services not yet rendered (at our discretion); and
(d) Changes will not apply retroactively to disputes arising before the effective date.

20. Technical Support and Warranty

20.1 Technical Support
We provide technical support for the Services through:
(a) Online documentation and FAQs at code27.co/support;
(b) Email support at service@code27.co;
(c) In-App help resources and tutorials; and
(d) Community forums (subject to separate community guidelines).
Support availability, response times, and scope may vary based on your location and subscription tier. We are not obligated to provide support beyond what is required by applicable law or the limited warranty.

20.2 Limited Warranty
Hardware warranty terms for the Device are provided separately in our Warranty Statement available at code27.co/warranty-and-return. The Warranty Statement specifies:
(a) Duration of hardware warranty coverage;
(b) What is covered and excluded;
(c) Procedures for warranty claims;
(d) Repair, replacement, or refund remedies; and
(e) Limitations and disclaimers.
The limited warranty is in addition to, and does not limit, any statutory rights you may have under applicable consumer protection laws.

20.3 No Other Warranties
Except as expressly stated in the Warranty Statement or required by law, we provide no other warranties, express or implied, and no oral or written information or advice given by CODE27 representatives creates any additional warranty.


21. Dispute Resolution and Governing Law

21.1 Governing Law
These Terms and any disputes arising out of or relating to these Terms, the Services, or our relationship with you shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) and the Uniform Computer Information Transactions Act (UCITA) do not apply to these Terms.

21.2 Informal Dispute Resolution
Before initiating arbitration or litigation, you agree to first contact us at service@code27.co to attempt to resolve the dispute informally. Provide:
(a) Your name, Account email, and contact information;
(b) A description of the dispute and the relief you seek;
(c) Supporting documentation or evidence; and
(d) A statement of good faith efforts to resolve the dispute.
We will respond within thirty (30) days and work in good faith to resolve the matter. This informal process is a precondition to arbitration or litigation.

21.3 Binding Arbitration Agreement
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Scope: If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or our relationship (including disputes about the validity, enforceability, or scope of this arbitration agreement) shall be resolved by binding arbitrationrather than in court, except as provided in Section 21.5.
Arbitration Provider: Arbitration will be administered by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration Rules and Procedures in effect at the time the claim is filed, as modified by these Terms. The JAMS rules and fee schedules are available at www.jamsadr.com or by calling 1-800-352-5267.
Arbitration Location: Arbitration will be conducted in San Francisco, California, United States, or another mutually agreed location. At your request, hearings may be conducted by telephone or videoconference.
Arbitrator Authority: The arbitrator, not any court or agency, has exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms, including the arbitrability of any dispute and any claim that all or part of these Terms are void or voidable. The arbitrator will decide the rights and liabilities of you and CODE27. The arbitration proceeding will not be consolidated with any other matters or joined with any other proceedings or parties, except as provided in Section 21.4. The arbitrator has authority to grant motions dispositive of all or part of any claim.
Arbitration Rules: The arbitrator shall apply:
(a) California substantive law (as specified in Section 21.1);
(b) The Federal Arbitration Act (9 U.S.C. §§ 1 et seq.);
(c) Applicable statutes of limitations and privilege rules that would apply in court;
(d) The JAMS Comprehensive Arbitration Rules and Procedures.
Award and Judgment: The arbitrator will issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator may award declaratory or injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant's individual claim. Judgment on the arbitration award may be entered in any court having jurisdiction.
Costs and Fees:
(a) Each party will bear their own attorneys' fees and costs, unless the arbitrator awards fees and costs to the prevailing party as permitted by law;
(b) CODE27 will pay all JAMS filing, administration, and arbitrator fees for claims seeking less than $75,000, unless the arbitrator finds the claim frivolous;
(c) For claims seeking $75,000 or more, fees will be allocated according to JAMS rules;
(d) If you prevail in arbitration on a claim where you sought less than the amount CODE27 offered in settlement before arbitration, CODE27 will pay your reasonable attorneys' fees and reimburse expenses you incurred in arbitration.
Opt-Out Right: YOU HAVE THE RIGHT TO OPT OUT OF THIS ARBITRATION AGREEMENT by sending written notice of your decision to opt out to legal@code27.co within thirty (30) days of first accepting these Terms (or within 30 days of any material change to this arbitration provision). Your opt-out notice must include your name, address, Account email, and a clear statement that you wish to opt out of this arbitration agreement. Opting out of arbitration does not affect any other terms of this agreement.

21.4 Class Action Waiver
YOU AND CODE27 AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Unless both you and CODE27 expressly agree otherwise in writing:
(a) No arbitrator or judge may consolidate more than one person's claims or preside over any form of representative, class, or consolidated proceeding;
(b) An arbitral award and any judgment confirming it apply only to the specific case and cannot be used in any other case except to enforce the award;
(c) If a court or arbitrator determines that this class action waiver is unenforceable, the arbitration agreement in Section 21.3 is void (but the rest of these Terms remain enforceable); and
(d) This class action waiver does not prevent you from participating in a class-wide settlement.

21.5 Exceptions to Arbitration
Notwithstanding Section 21.3, either party may:
(a) Bring an individual action in small claims court if the claim qualifies;
(b) Seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights;
(c) Seek relief in court for violations that are not subject to arbitration under applicable law; or
(d) Opt out of arbitration as provided in Section 21.3.

21.6 Jurisdiction and Venue (If Arbitration Does Not Apply)
If arbitration does not apply (due to opt-out, exception, or unenforceability), you agree that:
(a) Any litigation shall be filed exclusively in the state or federal courts located in San Francisco County, California, United States;
(b) You consent to the personal jurisdiction of those courts;
(c) You waive any objection based on inconvenient forum; and
(d) You waive any right to a jury trial.

21.7 Time Limitation on Claims
Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after the claim or cause of action arose. Otherwise, such claim or cause of action is permanently barred.
21.8 Severability
If any portion of this Section 21 is found to be unenforceable or unlawful for any reason:
(a) The unenforceable provision shall be severed from these Terms;
(b) The remainder of Section 21 and these Terms shall remain in full force and effect; and
(c) Any such dispute shall proceed in a court of competent jurisdiction as specified in Section 21.6.


22. General Provisions

22.1 Entire Agreement
These Terms, together with the Privacy Policy (code27.co/privacy), Warranty Statement (code27.co/warranty-and-return), and any Promotion Official Rules, constitute the entire agreement between you and CODE27 regarding the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties (written or oral).

22.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction:
(a) The provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent; or
(b) If modification is not possible, the provision shall be severed; and
(c) The remaining provisions shall remain in full force and effect.

22.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms does not constitute a waiver of that right or provision.

22.4 Assignment
You may not assign, transfer, or delegate these Terms or your rights or obligations hereunder without our prior written consent. Any attempted assignment in violation of this section is void. We may assign these Terms or any rights hereunder without restriction, including to affiliates or in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and inure to the benefit of the parties' permitted successors and assigns.

22.5 Force Majeure
CODE27 shall not be liable for any failure or delay in performing obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

22.6 Notices
To You: We may provide notices and communications to you by:
(a) Email to the address associated with your Account;
(b) Posting on the Website or within the App;
(c) Push notifications through the App;
(d) Physical mail to the address you provide; or
(e) Other reasonable means.
You consent to receive communications electronically, and you agree that electronic communications satisfy any legal requirement that such communications be in writing.

22.7 Relationship of Parties
Your relationship with CODE27 is that of independent contractors. These Terms do not create any partnership, joint venture, employment, franchise, or agency relationship. Neither party has authority to bind the other or incur obligations on the other's behalf.

22.8 Third-Party Beneficiaries
These Terms do not confer any third-party beneficiary rights. No person or entity not party to these Terms will have any right to enforce any term of these Terms.

22.9 Survival
Provisions that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, limitations of liability, dispute resolution, and general provisions.

22.10 Language
These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any conflict or inconsistency.

22.11 Interpretation
Headings are for convenience only and do not affect interpretation. The words "include," "including," and similar terms are not limiting. "Will" and "shall" are used interchangeably and have the same meaning.

22.12 Consumer Rights
Nothing in these Terms affects statutory rights that cannot be waived or limited by contract, including consumer protection laws, warranty rights, or other mandatory legal protections. If you are a consumer in the European Economic Area, United Kingdom, or other jurisdiction with mandatory consumer protections, you may have additional rights under local law.
